对中国大学引入董事会制度的反思

摘要

The proposal that a director-board system be introduced into Chinese universities deserves to be deeply considered.Historically,there was no board of directors for a long time.Based on the current practice,not every university needs a board of directors.Functionally,the university＇s board of directors mainly co-ordinates the value judgments from all sides and supplies support of external resources.However,for Chinese universities,the performance of the two above-mentioned functions will be balanced by power and affected by governing strcture and regulation technology.Thus the advantages and disadvantages of introducing the director-board system into universities cannot be determined in a general sense.%对中国大学引入董事会的主张,我们要进行深刻反思。从历史上看,大学董事会曾长期不存在;从当前实践看,许多大学也未必需要一个董事会。大学董事会的功能主要是协调各方价值判断和提供外部资源支持,但对于中国的大学而言,这两个功能的发挥受到权力平衡、治理结构和制度技术等方面的影响,其利弊不可一概而论。我们引入大学董事会制度时需要保持谨慎而有选择的态度。
