Analysis of Factors Influencing Control Rights Allocation of Venture Firms

This Paper analyzes the total process of control rights allocation of venture firms, on the basis of the definition of control rights of venture firms, and divides the influence factors into direct factors and indirect factors, according to their influence degree to investment agreement clause and the decision behaviors of both sides of control rights allocation in different stages of the allocation process, including investment tool choice, the voting right, capital cost of the venture capitalist, the venture capital anticipated income and the venture enterprise quality, venture capitalist's investment strategy, the both sides' rational limitation of allocation of control rights and investment environment, etc. Finally, this paper analyzes the affect process of influence factors above to control rights allocation.
