公司转投资制度立法模式的选择

Our company investment transfer legislative model experience from compulsory national company autonomy to the development course. The transfering investment legislation mode in new company law is in the need of economic development, realize the return of the company nature, and promote the development of the company, but still exist the defects, for example, the information disclosure system scope of the company is narrow, the legal responsibility of the company top is vacancy in transfering investment, the excessive transfering investment behavior effectiveness in the system is unknown, and may affect the social economy and the company＇ s own development, so we have to change the unwinding practice, turn to the company autonomy and limited legislation model and make it perfect from the system.%我国公司转投资立法模式经历了一个从国家强制到公司自治的发展历程。新公司法中的公司转投资立法模式适应了我国经济发展的需要，实现了公司本质的回归，促进了公司的发展，但是依旧存在适用转投资信息披露制度的公司范围过窄、公司高层转投资法律责任空缺、越权转投资行为效力不明等制度上的缺陷，并可能影响社会经济和公司自身发展，因此我们必须改变放任自流的做法，在公司转投资问题上采用公司自治与有限规制的立法模式，并从制度上加以完善。
