The Companies (Shareholders' Rights) Regulations 2009 come into force on 3 August 2009. The regulations implement the EL) Shareholder Rights Directive in the UK but have also been used by the government to correct a number of anomalies arising from the previous implementation of the Companies Act 2006 (CA 2006).rnThe regulations clarify the confusion that arose following the implementation of the CA 2006 provisions relating to proxies. They confirm that where a proxy has been appointed by more than one member and those members have instructed him to vote in different ways on the resolution then, on a show of hands, the proxy will have one vote for and one vote against the resolution.rnThe regulations also clarify a similar confusion in relation to the voting rights of multiple corporate representatives appointed by the same member by confirming that such representatives may vote in different ways to each other in respect of different blocks of shares.
