A scheme of arrangement under the Companies Act 2006 offers a flexible way for a company to implement arrangements with its members and/or creditors. Once a scheme achieves 75% approval from the members or creditors and is sanctioned by the court, the scheme binds all the members or creditors, including those who voted against the scheme. As such, these schemes have become a useful tool in restructuring companies.
