浅析一人公司设立的限制性规定——以新公司法为背景

于2014年3月1日起正式生效的新公司法,取消了对一人公司设立的的最低注册资本的要求.本文通过对一人公司概念及特征的梳理以及对我国有关一人公司设立的限制性条件的立法进程的解读,探析我国立法有关设立一人公司的限制性条件的具体成因及其价值取向.%In the new "company law" came into effect from March 1, 2014, the provisions on the establishment of one-man company to cancel the minimum registered capital requirements of the company.
