A circuit board (100) with an electrostatic discharge protection mechanism and an electronic apparatus having the same are provided. The circuit board (100) includes a substrate (120), at least one signal trace (141,142), and a conductive element (160). The at least one signal trace (141,142) is disposed on the substrate (120). The conductive element (160) is electrically connected to a ground plane (GP) of the substrate (120) and crosses over the at least one signal trace (141,142). The conductive element (160) has at least one discharging portion (161,162). The position of the at least one discharging portion (161,162) corresponds to the at least one signal trace (141,142). A gap (GA1,GA2) exists between the at least one discharging portion (161,162) and the at least one signal trace (141,142). A static electricity of the at least one signal trace (141,142) is discharged to the at least one discharging portion (161,162).
