PROBLEM TO BE SOLVED: To provide an optoelectronic device whose luminance spot can be suppressed by making thermal distribution on an optoelectronic panel uniform and to provide the optoelectronic panel.;SOLUTION: The electrooptical device 1 comprises the electrooptical panel 11 and a backlight 12. The optoelectronic panel 11 has a counter electrode 43 having heat transfer efficiency higher than those of substrates 41 and 42 between the substrates 41 and 42.
