市场经济与行政干预的论题历来被学者给予高度的重视，具体到公司登记中，体现为政府在公司登记中应该扮演的是全能政府的角色、有限政府的角色、抑或是完全放任的角色。通过对行政干预的历史演变规律分析从而得出有限政府在当今社会的正确性。在公司登记领域就是要实行形式审查与实质审查相结合的登记审查制度。但形式审查与实质审查之间的界限如何确定？政府对公司登记的干预程度如何确定？结合我国的具体国情并且借鉴国外的立法经验对我国公司登记中的政府角色进行了分析。%The topics of market economy and administrative intervention are always being thought highly of by scholars. In the field of the company registration, it means that the government should play the role of the omnipotent government, the role of limited government, or the role of fully permissive government. In this paper, it is concluded from the historical evolution law of administrative intervention that limited government in today's society is correct. Namely ,in the company registration domain it is necessary to implement the system of review and register that conbines the substantive review with the formal review. But how to determine the boundaries between the formal review and substantive review, and how to determine the level of the government intervention to the company registration, are still questions. Therefore, combined with China's specific national conditions and foreign legislative experiences, the government's role in our company registration will be analysed specifically.
