Large Shareholder Expropriation of Minority Shareholders in the Nature and Solutions

This article analyses the problem of the distribution between rights of control and claim right in shareholders, and points out that rights of control's change is different from the claim right along with increasing the share which leads the deviation between the shareholders' rights of control and claim right. And then we come to a conclusion that the essence of large shareholder expropriation of minority shareholders' interests lies in the deviation of the distribution of rights of control and claim right between large shareholders and minority shareholders. At last, according to the viewpoint above, we have given some targeted advice.
