PROBLEM TO BE SOLVED: To obtain a catalyst which gives a low-mol.-wt. ethylene polymer having a narrow mol.wt. distribution even when no hydrogen is added to the polymn. system by combining a specific transition metal compd. with an organoaluminumoxy compd. ;SOLUTION: This catalyst comprises a transition metal compd. represented by the formula (wherein M is a metal atom of the group 4; R1 and R2 are each a hydrocarbon group or an Si-contg. group provided at least one of them is a 3C or higher linear hydrocarbon group; m and n are each 1-4; X1 and X2 are each a 1-20C hydrocarbon group, alkoxy, aryloxy, trialkylsilyl, an S-contg. group, halogen, or H; and Y is a divalent hydrocarbon group or a divalent Si-contg. group) [e.g. dimethylsilylenebis(3-n-butylcyclopentadienyl)zirconium dichloride], an organoaluminumoxy compd.
