PURPOSE: A vertical alignment mode LCD and a method for fabricating the same are provided to simplify process steps and reduce the fabricating cost by removing a passivation layer that protects a color filter layer. CONSTITUTION: A vertical alignment mode LCD includes first and second substrates(120,130), and a plurality of gate and data lines formed on the first substrate to define a plurality of pixels divided into at least two regions. A driving device is arranged in each pixel of the first substrate, and a pixel electrode(110) is formed in the pixels of the first substrate. A black matrix(132) is formed on the second substrate and arranged at the boundary of a region formed in the pixels. A color filter layer(134) is formed on the second substrate except for the black matrix. A common electrode(138) is formed on the color filter layer of the second substrate, and has a slit(139) on the black matrix. A liquid crystal layer(140) is formed between the first and second substrates.
