The present invention relates to a phenolic resin composition and foam material prepared therewith, the phenolic resin composition of the present invention comprising solid phenolic resin and foam resin beads, the foam basic resin employed by the foam resin beads being resin having a thermal deformation temperature of more than 90℃ under a load of 0.45 MPa. The composition does not have a short storage problem. The foam material of the present invention comprises a cross-linked phenolic resin substrate and foam resin beads dispersed therein, and is prepared with the phenolic resin composition. The foam material has low heat conduction coefficient and excellent flame retardant property. The molding material prepared from the foam material of the present invention can be used as fire-proof heat preservation material, acoustic insulation material, damping material, wood imitation material and the like.
