Standard Industries Inks Definitive Deal To Acquire Grace for Around $7-Billion

Grace & Co. and Standard Industries Holdings have entered into a definitive agreement, under which Standard will purchase Grace in an all-cash transaction valued at approximately $7-billion, including Grace's pending pharma fine chemistry acquisition. Closing of the transaction, which was unanimously approved by Grace's board of directors, is subject to customary closing conditions, including approval by Grace shareholders and receipt of certain regulatory approvals. The sale is expected to be finalized in the fourth quarter of this year.
