Cross-Border Schemes of Arrangement: Rationalising One Basis for Jurisdiction

Jurisdiction to approve schemes of arrangement is premised on the company being one "liable to be wound up". This has led to difficulty where overseas companies are involved. This article develops a positive account of this requirement by reference to the scheme's historical origins. It argues this positive account justifies the approach taken by the courts in spite of the criticism it has attracted.
