Some Comments on the SEC'S Amendments to Rule 144 and Rule 145- Part II

In our view, the most important and far-reaching action taken by the U.S. Securities and Exchange Commission ("SEC") in the area of control and restricted securities since 1997, has been the adoption of the Rule 144 and Rule 145 amendments, which became effective on February 15, 2008. In the Spring 2008 issue of SRLJ we discussed "some of the changes which have been made by the amendments, as well as some of the consequences of the changes, and some of the steps that persons impacted by the rule can take in order to avoid trouble." There we noted that our Spring 2008 article was the first of a series of three planned articles on the subject. Set forth below is the second article in the series.
