Section [1], Inventions, Discoveries and Improvements.rn(a) Disclosure. Employee agrees to promptly disclose and describe to Company, but to otherwise maintain as a Trade Secret: (i) all inventions, improvements, discoveries and technical developments, including but not limited to all new and useful processes, machines, manufactures, compositions of matter and improvements thereof, whether or not patentable (hereinafter collectively referred to as "Inventions") which are made, conceived or reduced to practice by Employee, either alone or with others, during the term of Employee's employment, or in connection with the formation of Company, and (ii) all Inventions which are based in whole or in part upon Confidential Information or Trade Secrets and are made or conceived or reduced to practice by Employee, either alone or with others, within one (1) year after Employee's leaving Company's employ.
