摘要

Because Limited Liability Company has closed and sexual characteristics, a lot of disputes appear when shareholders transfer their shares to external foreign. The design of shareholders priority purchase right system mitigate the contradiction between the interior of the shareholder to some extent. There are considerable divergences in practice on the exercise problem of the shareholders priority purchase right and the related legislation also had not been clearly set, which exacerbate the controversy in the law application.%　　有限责任公司兼具封闭性和人合性特点，致使股东在对外转让股份时出现的纠纷颇多。股东优先购买权制度的设计，在某种程度上缓解了内部股东之间的矛盾。但股东优先购买权的行使问题在实践中存在较大分歧，而相关立法也未能予以明定，加剧了法律适用上的争议。
