论矿产资源使用权作价出资

摘要

矿产资源使用权是准物权的一种，具备财产权的基本属性，权利人可以在满足法定条件下以矿产资源使用权作价出资。以矿产资源使用权出资后，矿产资源使用权发生转移，原权利人根据其出资享有相应的股权。我国目前对矿产资源使用权作价出资的限制主要体现在出资主体、出资客体、出资方式以及出资后的权利公示等方面。结合实际案例，实践当中，以矿产资源使用权作价出资的多采用投资入股的形式。%This paper argues that the right to use mineral resources has basic attribute of property rights. So rights-holders can make capital contributions in the right to use mineral resources under meeting the legal conditions. After that, the right to use mineral resources is shifted; and the original holders can enjoy the corresponding stock according to their capital contribution. On this basis, this paper introduces the restrictions on making capital contributions in the right to use mineral resources in China. Mainly embodied in: subject of capital contribution; object of capital contribution; means of contributing investment; as well as publication of rights after investment. In practice, the right-holder, who makes capital contributions in the right to use mineral resources, mostly use the form of investing and holding share.
