Conflicts of interest in rural land acquisition is a prominent feature of China’ s current social contradic-tions. In the course of this conflict, both parties are justified to defend their reasonable interest demands, but in a lot of the cases, the parties are inclined to show an over emphasis on their own interest, thus leading to the con-flicts. As a stakeholder in the conflicts, the government could not serve as an independent arbiter, making the contradiction even more complicated. Therefore, it is necessary to establish a mechanism of introducing a third party for coordination and arbitration so as to relieve the conflicts between the government and members of socie-ty.%农村征地拆迁中的利益冲突是当前我国社会矛盾的一个突出表现，在这一冲突过程中各方利益诉求既有合理的一面，也有过于强化自身利益的一面。政府在利益冲突中充当了利益参与者的角色，注定其无法成为公正的仲裁者，导致矛盾进一步复杂化。因此，需要建立社会第三方的利益协调和裁决机制，使政府与社会成员之间的矛盾冲突有缓冲余地。
