Taking returnee entrepreneurs in Yangtze river delta as the research object, this article carries out a the⁃oretical analysis and empirical study of the relationship among entrepreneurial environment, entrepreneurial learning and entrepreneurial ability through the structural equation model ( SEM) . It finds out that entrepreneurial environ⁃ment not only has a significant positive influence on entrepreneurial learning, but also has a significant positive in⁃fluence on the promotion of entrepreneurial ability;entrepreneurial learning plays an intermediary role between en⁃trepreneurial environment and entrepreneurial ability; entrepreneurial learning has a significant positive influence on entrepreneurial ability, the promotion of entrepreneurial ability of returnee talents requires improving the entre⁃preneurial environment and attaching importance to entrepreneurial learning. The research suggests that entrepre⁃neurial ability is the key factor to ensure the success of the business, entrepreneurial learning is the important chan⁃nel to promote entrepreneurial ability, and entrepreneurial environment provides a lot of resources for the acquisition of entrepreneurial ability.%以长三角地区海归创业人才为研究对象，通过建立创业环境、创业学习与创业能力三者关系的结构方程模型（ SEM）进行理论分析和实证研究，发现创业环境不仅对创业学习具有显著正向影响，而且对海归人才创业能力的提升具有显著正向影响；创业学习在创业环境与创业能力之间起着中介作用，创业学习对创业能力具有显著正向影响，海归人才创业能力的提升需要通过改善创业环境和重视创业学习来实现。研究认为：创业能力是确保创业成功的关键因素，创业学习是提升创业能力的重要渠道，创业环境为创业能力的习得提供了大量的资源。
