Corporate Governance:A Proposition Caused by Corporation Characteristic

The most typical characteristic of Modern Corporation is that it establishes the company's legal status along with the perfection of corporate system of legal entity,and it brings out the corporate characteristic, that is to say, the co-existence of corporate subjectivity and organizationality. Corporation subjectivity indicates the independence of corporation's interest,and corporation organizationality means that the realization of corporation's interest must depend on natural person, which brings out corporation paradox,namely,natural person is the crux to realize and prejudice corporation interest,and natural person is also the source that erodes the corporation interest. Therefore,how to protect corporation interest of corporate subjectivity and organizationality causes the emergence of corporate governance.
