The Law System of Cash Dividend Distribution in China: The Past, Present and Future1

In the Chinese capital market, it has been the focus of the market that majority shareholders occupy the interest of minority shareholders, protecting the interests of minority shareholders is one of the main goals of China's system design. This paper using investigation method collecting on China's cash dividend distribution law system of reality and historical condition, besides it combs the development process of the Chinese dividend distribution law system, finally in order to better protect the interests of minority shareholders, through the experience method the paper puts forward policy suggestions on cash dividend distribution law system. Points out that China's cash dividend distribution law system needs to be further improved formulating more detailed standards for dividend payment, shareholder's right of action and right of claim to repurchase and abolish taxes on dividends of listed companies; let China's capital market healthy develop, let minority shareholders' legal rights and interests better protection.
