PURPOSE: An electronic payment system and an electronic commerce method using an integrated circuit are provided to form freely credit transactions off-line within the limits of a credit value after charging the value of credit to the integrated circuit card of a client according to the client's credibility. CONSTITUTION: A management institute(20) provides a client card(22) and a vendor card(26) at which an identical purchasing key is recorded. An issue institute(21) records a charging key and credit value information to the client card(22) provided from the management institute(20) and provides them to the client. A purchasing institute(25) records an adjustment key to the vendor card(26) provided from the management institute(20) and provides it to the vendor. A terminal(29) forms credit transactions between the client card(22) and the vendor card(26) on-line or off-line and processes a charging for the credit value of the client card(22) and an adjustment of the vendor card(26) on-line.
