The device has shutters (26) disposed in a duct (22) by being mobile between two positions for completely or partially sealing the duct. The shutters have a layer (40) with sound attenuating property. The layer is fixed to a support (42) at the side (36) of the shutters. The side (36) is oriented towards upstream along a direction of circulation of gas in the duct and another side of the shutters is oriented towards downstream. An independent claim is also included for a ventilation assembly having a casing with a ventilator and sealing device.
