A system and a method for distributing UCC using DRM are provided to prevent illegal distribution of the UCC and enable an SP(Service Provider) to reduce a server load needed for preventing the illegal distribution of the UCC by using the DRM. A register registers a client(210,220) by using an ROAP(Right Object Acquisition Protocol). A content maker makes contents. A DRM content packager performs DRM content package to the made contents. A distributor legally distributes the packaged DRM contents. A requestor requests purchase of an RO(Rights Object) for using the packaged DRM contents. An I/O(Input/Output) part receives and displays right offer, and receives selection for the right offer from a user. A receiver receives the packaged RO. The DRM content packager includes a content ID generating module adding an ID representing the UCC, and a CEK(Content encryption key) generating module generating a CEK by using a code word of the contents and inserting the CEK into a DCF(DRM Content Format) file.
