The present invention is a resin composition capable of functioning as a pressure-sensitive adhesive composition for forming a pressure-sensitive adhesive layer containing a polyurethane resin. The resin composition has remarkably high reactivity without using a tin compound as a catalyst, quickly conducts a crosslinking reaction between polyol and a polyfunctional isocyanate compound and provides a pressure-sensitive adhesive layer with high transparency. A pressure-sensitive composition formed of the resin composition is provided. A pressure-sensitive adhesive layer with high transparency formed by using the pressure-sensitive adhesive composition is provided. A pressure-sensitive sheet and a surface protective film each of which includes the pressure-adhesive layer are provided. The resin composition includes 100 parts by weight of polyol having two or more OH groups; 1-100 parts by weight of a polyfunctional isocyanate compound; and a catalyst including an iron complex compound.
