This invention relates to a cutting apparatus with rotary knife for a form-fill and seal machine comprising of atleast two shafts wherein one shaft is positioned above another shaft, in which the upper shaft is provided with a sharp knife and lower shaft is provided with a flat knife; the upper shaft is connected to a gear for transmission of motion to another set of gears with a phase shift between said knives. The apparatus of the present invention has long life span and is cost effective.
