[Problem] To provide a modifier for polymers and a modified conjugated-diene polymer, the modifier making it possible to obtain modified conjugated-diene polymer compositions excellent in terms of various properties including processability, mechanical strength, wear resistance, and fuel-saving properties.[Solution] The modifier for polymers of the present invention is characterized by comprising a compound represented by general formula (1). In general formula (1), Z represents an oxygen atom or a sulfur atom; A1 and A2 each represent a six-membered aromatic ring group or a six-membered aromatic heterocyclic group including at least one nitrogen atom as a ring-constituting element; R1 and R2 have been bonded to carbon atoms of A1 and A2 respectively and each independently represent an (un)substituted, (un)saturated, three- to twelve-membered heterocyclic group, which includes one nitrogen atom as an element for constituting the heterocycle and which may further include, as an element for constituting the heterocycle, one heteroatom selected from the group consisting of nitrogen, oxygen, and sulfur atoms; and m and n are each independently an integer of 0-4 and satisfy (m+n)≥1.
