Synthomer to acquire Omnova Solutions for an enterprise value of $824 million

Synthomer (Harlow, United Kingdom) said today that it had entered into a definitive agreement to acquire Omnova Solutions (Beachwood, Ohio), a producer of polymers, dispersions, elastomers and other specialty chemicals, for an enterprise value of ￡654 million ($824 million), including $473 million in shares and $351 million of debt. The transaction has been approved unanimously by the Omnova and Synthomer boards. Synthomer says this is a step-change transaction creating a global specialty chemicals company on a greater scale and with a strong platform to grow.
