SEC Adopts New Disclosure Requirements to Enhance Proxy Disclosure

The Securities and Exchange Commission (SEC or Commission) has adopted major changes (New Rules) to the federal proxy rules, which became effective on February 28, to enhance the information provided in connection with proxy solicitations and in other reports filed with the Commission. The New Rules represent an attempt by the SEC to respond to the expressed desire of investors to have additional information about corporate accountability, in order to enable them to make more informed voting and investment decisions. The SEC recently reopened the comment period related to its proposed new rules to facilitate shareholder director nominations, and action is expected to be taken by the Commission on those rules later this year.
