There are a number of U.S. laws that will apply to any international transaction involving a U.S. party, even if the parties designate another jurisdiction's laws as controlling. One commentator describes these laws as "mandatory." Among these are the FCPA, anti-boycott laws, and export control laws. Depending on the nature of the transaction, the parties may also need to be concerned with U.S. antitrust, employment, environmental, and securities laws.
