The issue of IP in an acquisition or divestiture is often complex question of exactly how to transfer the intellectual property. The following appear to be the basic legal issues that each side needs to address. This can be far more difficult than might at first appear. The purchaser can get a listing of patents, trademarks, and copyrights, and perhaps a general description of trade secrets. However, in many cases the purchaser will find that the seller has not done the "seller's due diligence" in advance of the transaction that sets all this out and deals with any possible legal/technical difficulties in advance.
