With effect from 1 October 2008 the Companies Act 1985 (Annual Return) and Companies (Principal Business Activities) (Amendment) Regulations 2008 inserted new sections into the Companies Act 1985, changing the information companies must disclose about their members on their annual returns. Companies on the Official List (referred to as 'traded companies') must now include a list of the name and address of every person who held at least 5% of the company's issued shares of any class at any time during the period since the date of the last annual return. No information should be included in respect of members of traded companies who held less than that amount of the shares. For all other companies, (referred to as 'non-traded companies') the return must contain a list of the name (but not the address) of every person who was a member of the company at any time during the period since the date of the last annual return. The changes apply to annual returns made up to a date on or after 1 October 2008.
