Based on the generalized virtual economic theory advocated by Lin Zuoming, this paper uses "no-indifference labor" as the criterion to identify the difference between human capital and the general human resources. According to the deifnitions of human capital in the generalized virtual economy, this paper discrimi-nates several incentive mechanisms of human capital share, then we redeifne the concept of human capital share, ifnd out the main body of human capital share and propose a proift-sharing mechanism of human capital - human capital being a shareholder. In addition, this paper builds a game model to analyze human capital shares to partici-pate in the distribution of income and analyze the Pareto validity for human capital being a shareholder. So this paper lays a theoretical basis for effective implementation of human capital being a shareholder in practice.%本文以林左鸣先生所倡导的广义虚拟经济思想为指导,以能否提供“非无差别劳动”作为判别人力资本的客观标准,区别了人力资本与一般人力资源。在此基础上重新定义了人力资本入股的概念,明确了人力资本入股的主体,从根本上明晰了人力资本的资本地位。此外,本文从构建人力资本入股博弈模型、以及人力资本所有者参与收益分配的帕累托分析二个层面通过层层深入的经济学分析,为在实践中有效实施人力资本入股奠定了理论基础。
