美国破产法对企业家创业行为的调节作用

摘要

作为经济活动的调节机制和正式制度，破产法对企业的退出市场起着关键性的作用，其实施的过程也会对企业家创业行为产生调节作用。如果创业者因其创业失败而得到重罚，那么他们将会失去创业精神，甚至放弃再次创业机会。本文对修订后的美国破产法相关规定对企业家创业行为的影响进行分析，并结合我国破产法实施的现状进行反思，提出高效、宽松和过程严谨的破产法对企业家创业行为有促进。%Bankruptcy law , as the formal system and a mechanism for regulating economic activity , played a key role in the process of the exit mechanism of enterprises , and also affected corporate entrepreneurial behavior .If entrepreneurs get the heavy penalties just because of their fail to running business , then they will lose the entrepreneurial spirit , and e-ven miss entrepreneurial opportunities again .In this paper , the impacts of the U.S.bankruptcy code on entrepreneurship are analyzed .And the paper studies the situation since our bankruptcy code has been carried out , and proposes that only the efficient, relaxed and rigorous process of corporate bankruptcy law can promote entrepreneurial behavior .
