Optimization of Corporate Governance Structure of Chinese Security Company Concerning Risk Management

摘要

This paper reveals the close relation between corporate governance structure and risk management, analyzes the existing corporate governance structure of Chinese security company,discovers the limitations and profoundly suggests feasible scheme from the aspects of minority shareholders' rights, board's responsibility,restriction to independent director,and management motivation. Further more, this paper develops the optimized corporate governance structure model of security firms regarding risk management.
