Concurrent Enforcement of the New Romanian Civil Code Provisions Regarding the Company Agreements and the Special Dispositions of Law no. 31/1990

Civil and commercial law has each had an existence of its own for a long period, yet not a completely parallel one. From this perspective, the monistic vision of the New Civil Code has led to an overlapping of the institutions specific to those two branches, which, however, has not been fully carried out. In this context, one notices the existence of certain regulations not included in the compression of the civil law branch, among which being singled out Law no. 31/1990 as well. However, given the texts establishing the common law nature of the regulations provided by the New Civil Code, as well as this parallelism in regulation, one is required to carry out a comparative analysis intended to dissipate any potential confusions.
