Discussions on the Governance Structure of Independent Colleges

This thesis is divided into four parts. The first part discusses the advantages and disadvantages of the system design for independent colleges. The second part discuses the characteristics of governance structures for different kinds of independent colleges, including brand-turned-pattern independent colleges controlled by their mother universities, brand-sold-pattern independent colleges controlled by investors and brand-created independent colleges controlled by multiple governance. The third part discusses the influence of the transformation between stock rights and creditor's rights on the governance structure. The fourth part mentions the suggestions of the countermeasures for the legal support of the optimization of the governance structure of independent colleges.
