PURPOSE:To obtain the subject phenolic resin excellent in heat resistance, oxidation resistance and mechanical strengths by mixing a specified petroleum-derived heavy oil or pitch with a formaldehyde polymer under specified conditions, adding a phenol to the mixture and polycondensing the reaction mixture. CONSTITUTION:1mol of a petroleum-derived heavy oil or pitch having an aromatic hydrocarbon fraction (fa) value of 0.40-0.95, an aromatic ring H content (Ha) value of 20-80% is mixed with a formaldehyde polymer (e.g. paraformaldehyde) is an amount of 1 to 10 (in terms of the number of moles of HCHO), and 0.3 to 5mol, per mol of the petroleum-derived heavy oil or pitch, of a phenol (e.g. phenol) is added to the obtained mixture at a rate of 0.05 to 5wt.% based on the total weight of the petroleum-derived heavy oil and pitch, while heating it under agitation in the presence of an acid catalyst (e.g. p-toluenesulfonic acid), and the resulting mixture is polycondensed.
