PROBLEM TO BE SOLVED: To provide an installing structure of a modesty panel firmly installable without revealing a fixing tool such as a nail to a surface of the modesty panel when installing the modesy panel in a boundary part of an outer wall of the outdoor side upper floor and lower floor of a building, a fitting suitably used in that case, and the modesty panel.;SOLUTION: This modesty panel 3 forming a recessed part 3d and a first arm part 3e in the lengthwise direction on the reverse side can be installed on the outer wall, and has the fitting 1 forming a rising part 1b and a locking part 1c on the upper side, forming an upward upper guide piece, a downward lower guide piece and an upward cut piece 2b in an almost intermediate part of a base board part 1a, and arranging a fitting part 2 having a cross-sectional shape of an almost U shape.
