Copolymerization of conjugated dienes with nonconjugated olefins is effected in the presence of a catalyst comprising a rare earth metal allyl compound (I) and optionally an activator (II). Copolymerization of conjugated dienes with nonconjugated olefins is effected at -30 to +160 deg C in an aliphatic and aromatic solvent in the presence of a catalyst comprising a rare earth metal allyl compound (I) and optionally an activator (II), where (I):(II) molar ratio is 1:0.1-1000, (I) is present in an amount of 1 mu mole to 10 mmole per 100 g of diene and the olefin is present in an amount of 5-2000 g per 100 g of diene.
