The present invention relates to a flame retardant resin modified with phosphorus·nitrogen characterized in being represented by the following Formula 3 and obtained by preparing a resol resin by reacting a phenol compound with an aldehyde compound in the presence of an alkaline catalyst and reacting with metamine and a phosphor-based flame retardant agent one by one, and a composition thereof. They have the merit of being flame retardancy and having good mechanical and electrical properties. [Formula 3] (In the above Formula 3, X may be represented by the following Formula 1 or Formula 2.)
