摘要

The main statute governing foreign direct investment in Thailand is the Foreign Business Act of 1999 (FBA). It defines a foreign entity as one that is not registered in Thailand or that has foreign shareholdings equivalent to at least 51% of the total number or value of shares. A limited partnership or ordinary registered partnership is considered foreign if the managing director or manager is not Thai. Foreigners may own 100% share capital in a wide range of businesses, except those grouped into three negative lists. These lists are organised as follows: 1. List 1 activities are entirely prohibited for foreigners, because of cultural or security reasons. These include the operation of newspapers, radio and television outlets, all types of farming, fishing, the trading of artefacts and real-property transactions.
