Bristow and Era to merge

BRISTOW GROUP and Era Group — both major helicopter providers to the offshore industry — have agreed to merge in an all-equity deal structured as a reverse triangular merger. Era will issue shares to Bristow stockholders and continue to trade on the New York Stock Exchange under the ERA ticker. The combined company will be called Bristow. The move, approved by both companies' boards of directors, comes as helicopter providers find themselves impacted by lower oil and gas activity following the commodity price downturn.
