Venture capital deal terms: A guide to negotiating and structuring venture capital transactions

This 2016 book by investor Harm de Vries, legal consultant Menno van Loon, and attorney-at-law Sjoerd Mol is an updated version of a 2005 book authored by Harm de Vries and Menno van Loon entitled Venture Capital Term Sheets: How to Structure and Negotiate Venture Capital Transactions. An interaction with a client in 2004 inspired De Vries to write the first book. The client asked him to explain some of the terminology on the term sheet that he was about to sign. In a hurry, De Vries promised to send the client a document defining the unfamiliar words. De Vries recognized a need for a guide that would educate business owners and investors to help them better understand all phases of the venture capital process. Almost a decade after that first publication, De Vries concluded that enough had changed in the financial world to warrant an updated version of the 2005 book. Despite extensive updating, the purpose of both books is the same: "to provide a clear understanding of the most frequently used practices, terms and conditions to those with less than extensive experience in venture capital transactions" and to "also serve as a valuable reference guide for the more experienced venture capitalist." The authors accomplish their goal and add a valuable resource to the growing body of venture capital literature.
