外商隐名出资与国家经济安全

摘要

无论是在法律规制，还是在股权控制方面，国家对涉及国家经济安全的金融企业都予以严格管控，民生华懋案即是其典型实例。金融企业融资时，在不威胁国家利益的前提下，国家应允许民商事主体的制度创新，充分尊重私法自治。从不同角度分析我国金融领域里外商隐名出资遭遇的困境，探究其实质、提出相应策略，这对我国金融企业的持续健康发展有重要意义。应该既让企业吸收更多资金、发展壮大，又不能忘记国家经济安全，只有兼顾两者、实现平衡，才是最好的选择。%Both in legal regulation and equity control,every country shall control financial firms involved in the national economic security,and Minsheng-Chinachem is a good case in point.On the premise that no threat is posed to the interests of the state,the country shall allow civil-commercial subjects’system-innovation,respect the private-law autonomy regarding foreign companies ’ financing.It is important to analyze from different perspectives the threat posed by foreign investors’anonymous financing in China,and its nature,so as to put forward countermeasures.This is of special significance to the health of China’s financial security.Utilization of foreign investment and national financial security should be balanced.
