POTANIN BUYING 16 percent IN NORILSK FROM PROKHOROV FOR CASH, 79.2 percent IN POLYUS COLD

(Interfax) - Mikhail Prokhorov's On-exim Group has finalized the consolidation of a 16.66 percent stake in MMC Norilsk Nickel for its subsequent sale to companies affiliated with Vladimir Potanin as part of an offer made by Prokhorov. "In accordance with the terms of the irrevocable offer, affiliates of Vladimir Potanin are prepared to acquire said stake for 10 billion dollars, or 315 dollars per share. The payment should be made in cash (6.5 billion dollars) and with a 35.2 percent share package in Polyus Gold (3.5 billion dollars), which currently belongs to affiliates of Vladimir Potanin," Onexim said in an August 5 statement. The transaction is to be closed before November 15,2008.
