Praxair and Linde advance merger talks

Linde and Praxair said Wednesday that they had reached an agreement in principle on terms on their previously announced $69-billion merger. The two companies would combine in a merger of equals under a new holding company through an all-stock transaction, consistent with the structure that the companies announced on 20 December 2016. The agreement is now is subject to approval by the board of Praxair and the executive board and supervisory board of Linde. The transaction will then be subject to approval by a majority of Praxair shareholders, the acceptance of a public exchange ofer by a minimum of 75 of out- standing Linde shares, and regulatory clearances.
