ICL to acquire another South American plant nutrition business

Israeli specialty minerals and chemicals business ICL (Tel Aviv) has agreed to acquire Compass Minerals’ Brazilian business, Compass Minerals America do Sul (Maua), which includes Compass’s South American Plant Nutrition business. The deal for some R$2.2 million (US$400 million) includes a planned carve out of the of the existing water treatment and chemicals businesses. This sum includes the assumption of around R$600 million (US$109 million) of net debt and is subject to post-closing adjustments. In addition, the transaction includes an earnout of up to approximately R$88 million (US$16 million).
